Terms of Use

These terms govern use of the Trapframe Contributor Ledger (this platform). They are separate from the terms of the main trapframe.studio website and apply specifically here. By signing in or using the platform you agree to them.

What this platform is

The platform records accepted contributions, awards points for them in a public ledger, and models how revenue would be shared. It is operated by Trapframe Studio LLC(the "Studio").

Not a binding offer

The point scale, the bucket percentages, the pools, and the policies shown here are a v0.1 draft and are not a contract, an offer, or a promise of payment. Nothing on this platform obligates the Studio to pay anyone. Actual compensation is governed only by the Contributor Royalty Agreement once it is finalized, reviewed by counsel, and signed. Until then, points are a record of accepted work, not money owed. See how it works.

Accounts and approval

  • ·Access to the authenticated area requires signing in and approval by an administrator.
  • ·You are responsible for activity under your account and for keeping your sign-in secure.
  • ·We may suspend or remove access for conduct that breaches these terms or the Code of Conduct.

Acceptable use

  • ·Do not misrepresent authorship or submit work you do not have the right to submit.
  • ·Do not attempt to tamper with the ledger, the point workflow, or other accounts.
  • ·Do not scrape or load the platform in a way that degrades it for others.
  • ·Do not upload unlawful content or third-party material you are not licensed to share.

Contributions and intellectual property

Every project's code is open source under MIT or Apache-2.0; you keep your copyright and license code contributions under that license. Proprietary content for a game (art, audio, world, story, and the like) is assigned to the Studio so it can ship the paid game, as set out in the Contributor Royalty Agreement. You represent that each contribution is your original work and does not infringe anyone's rights.

Tax information

If you become eligible for payment, you are responsible for providing accurate tax details (for example via a W-9 or W-8) and for any taxes owed on amounts paid to you.

Disclaimer and liability

The platform is provided "as is", without warranties of any kind. To the fullest extent permitted by law, the Studio is not liable for indirect or consequential damages arising from your use of the platform. Because points are not a payment obligation, the platform creates no financial liability to you.

Governing law

These terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules.
